Acceptance of terms

By accessing or using VBTM (Verbatim), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service. VBTM is operated by Tealbroth LLC, a company registered in New Mexico (File #3141905), with a business address at 60 Tottenham Court Road, Office 680, Fitzrovia, London, W1T 2EW.

Service description

VBTM is an AI-powered dictation utility that transcribes speech and polishes text in real-time. The service removes filler words, corrects grammar, and produces clean text that is injected directly into any text field on your computer. VBTM is currently available as a desktop application for Windows and macOS.

Accounts

You may create one account per person. You are responsible for maintaining the security of your account credentials. VBTM uses passwordless authentication — you may sign in with Google, Microsoft, or a one-time password sent to your email address. You must provide accurate information when creating your account and keep it up to date.

Free tier

VBTM offers a free tier that includes 10,000 words per month. This allowance resets monthly. No credit card is required to use the free tier. The free tier includes all core dictation and AI polish features.

Paid plans

VBTM offers two paid plans. The Core plan costs $6.99/mo billed annually or $7.99/mo billed monthly, and includes unlimited dictation up to a fair-use ceiling of approximately 430,000 words per month (roughly 60 hours of audio). The Pro plan costs $8.99/mo billed annually or $9.99/mo billed monthly, and includes everything in Core plus custom AI polish prompts and a higher fair-use ceiling of approximately 575,000 words per month (roughly 80 hours). All payments are processed by Stripe.

Free trial

New users may access a 7-day free trial of any paid plan. You will not be charged during the trial period. You may cancel at any time before the trial ends. If you do not cancel before the trial period expires, your subscription will begin automatically and you will be charged at the applicable rate.

Referral program

VBTM offers a referral program where users can earn account credits by referring new paying subscribers. Credits are applied as account balance credits and are non-refundable for cash, non-transferable, and have no cash value. One credit is earned per referred user when they subscribe to a paid plan for the first time. Core plan referrals earn one month of free service. Pro plan referrals earn two weeks of free service. Credits are applied automatically to your next billing cycle.

VBTM reserves the right to modify, suspend, or discontinue the referral program at any time. Abuse of the referral program — including self-referrals, fraudulent accounts, or manipulation — may result in forfeiture of credits and account suspension.

The credit program described above is the default for all users. Separately, approved participants in our Affiliate Program may instead earn and withdraw cash commissions — see §10. Affiliate Program (Cash Referrals) below for those terms.

§10. Affiliate Program (Cash Referrals)

Separately from the store-credit referral program above, we operate an optional Affiliate Program through which approved participants (“Affiliates”) can earn cash commissions. Affiliate status is granted at our sole discretion: we may approve, decline, suspend, or revoke it at any time, with or without cause, and applying does not guarantee approval, earnings, or continued participation. You do not need to be a paying VBTM customer, and you do not need to buy anything, to apply.

Qualifying conversion

A commission is earned only when a person you referred (directly or through the tier structure below) pays in full for their first month of either the paid Pro plan or the paid Core plan at the then-current non-discounted price. The tier of the referred customer’s plan (Pro or Core) sets the commission rate paid at every level of the chain. Sign-ups, account creation, free accounts, free trials, downgraded or cancelled accounts, and any first payment that is $0, discounted, credited, or refunded do not qualify. Commissions are tied to genuine paid sales — never to sign-ups, recruitment, or headcount.

Commission tiers

On a qualifying conversion we pay the original referring Affiliate across three levels at a rate set by the referred customer’s plan. For a Pro plan conversion: $10 for a customer you directly referred (Tier 1), $2 for a customer referred by one of your referrals (Tier 2), and $1 at the third level (Tier 3). For a Core plan conversion: $7 (Tier 1), $1 (Tier 2), and $0.50 (Tier 3). No commission is paid for referring or recruiting another Affiliate.

Holding period and clawback

Earned commissions are held for approximately 30 days before becoming withdrawable. If the underlying subscription is refunded, charged back, reversed, or otherwise cancelled at any time, the related commission is reversed and deducted from your balance (and may be deducted from future commissions). We may extend holds where fraud or chargeback risk is suspected.

Payout threshold and method

Commissions become withdrawable once your withdrawable balance reaches $50. Payouts are made via Tremendous, where you choose your payout type (for example, a gift card or cash equivalent). You bear any fees charged by the payout provider, and we are not responsible for provider delays, currency conversion, or your ability to redeem a given payout type in your country.

Tax documentation

Before any payout you must provide a valid tax form — a Form W-9 (US persons) or Form W-8BEN / W-8BEN-E (non-US persons). We may hold payouts until a valid form is on file and may apply backup or other withholding where required by law. You are solely responsible for all taxes on amounts you earn, including in your country of residence, and amounts earned may be reported to tax authorities where required.

Eligible jurisdictions and sanctions

You may not participate from, and we will not pay Affiliates in, any country or to any person subject to US sanctions or export controls (including OFAC-administered programs and the SDN list). You represent that you are not such a person and are not located in such a jurisdiction; we may screen Affiliates and decline or reverse payouts to comply with applicable law.

No income guarantees; disclosures

We make no representation about the income any Affiliate will earn, and most participants should not expect significant income. Any earnings statement you make must be truthful, typical, and substantiated. When promoting VBTM you must clearly and conspicuously disclose your material connection to us (for example, that you earn a commission), in line with the FTC Endorsement Guides (16 CFR Part 255) and applicable law.

Independent contractor; conduct

You participate as an independent contractor; nothing here creates an employment, agency, partnership, or joint-venture relationship, and you have no authority to bind us. No self-dealing, spam, fake or incentivised sign-ups, bot traffic, trademark bidding on our brand terms, or other artificial means are permitted. We may withhold, reverse, or forfeit commissions, and suspend or terminate Affiliates, for breach of these terms, suspected fraud or abuse, or as required by law. Balances below the $50 threshold are not payable and may be forfeited on termination, subject to applicable law. We may modify or discontinue the program at any time, effective on posting.

Cancellation and refunds

You may cancel your subscription at any time through the VBTM application or via the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period — you will continue to have access to paid features until that date. We do not offer partial refunds for unused time within a billing period.

Fair use

Both paid plans are marketed as “unlimited” but are subject to a fair use ceiling sized far above realistic individual use. Core covers approximately 430,000 words per month (≈60 hours of audio); Pro covers approximately 575,000 words per month (≈80 hours). If your usage significantly and consistently exceeds your tier’s ceiling, we may throttle your access to maintain service quality for all users. We will always notify you before taking any such action and provide an opportunity to discuss your usage.

Teams and organizations

Users may create team workspaces and invite other users. The team owner is responsible for billing for all members of the organization. Team billing is consolidated — one subscription covers all members. Organization owners and designated billing administrators can manage the subscription.

Device policy

Each account may be used on one device at a time. Logging in on a new device will deactivate the previous device. Simultaneous use across multiple devices is not permitted.

Custom dictionary

Users may create custom dictionary entries to improve transcription accuracy. Dictionary data is stored securely and synced across the user’s devices.

Acceptable use

You agree not to use VBTM to produce, process, or distribute illegal content. You may not attempt to circumvent usage limits, manipulate the service to avoid charges, or exploit vulnerabilities. You may not reverse-engineer, decompile, or disassemble any part of the VBTM software. We reserve the right to suspend or terminate accounts that violate this policy.

Intellectual property

VBTM, including its software, branding, and documentation, is owned by Tealbroth LLC and protected by applicable intellectual property laws. Your dictation content belongs entirely to you. We claim no ownership, licence, or interest in the text you create using VBTM.

Limitation of liability

VBTM is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the accuracy of transcriptions, the quality of AI polish, or the uninterrupted availability of the service. We are not responsible for any errors in transcription, inaccuracies introduced by AI polishing, or any downstream consequences of text produced using VBTM. To the maximum extent permitted by law, our total liability to you is limited to the fees you have paid to us in the twelve months preceding the claim.

Termination

We may suspend or terminate your account if you violate these Terms of Service. You may delete your account at any time through the application or by contacting support. Upon termination, your right to use the service ceases immediately, and we will delete your account data in accordance with our Privacy Policy.

Governing law

These Terms of Service are governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of VBTM shall be resolved in the courts of New Mexico.

Changes to these terms

We may update these Terms of Service from time to time. We will post the revised terms on this page with an updated effective date. Your continued use of VBTM after any changes constitutes your acceptance of the revised terms.
